You agree not to:

  • Upload false, misleading, fraudulent, or illegal content.
  • Attempt to gain unauthorised access to our systems.
  • Interfere with the operation or security of the Services.
  • Use the Services to distribute malicious software or harmful code.

You are responsible for ensuring that all information entered into the platform is accurate and complete.

6. Financial and Tax Information

The Services may provide calculations, reports, recommendations, insights, forecasts, or AI-generated information.

Such information is provided for general informational purposes only and does not constitute:

  • Financial advice;
  • Tax advice;
  • Legal advice;
  • Accounting advice; or
  • Professional services.

You should seek independent professional advice before making financial, taxation, legal, or business decisions.

7. AI-Generated Content

The Services may use artificial intelligence technologies to generate suggestions, classifications, summaries, insights, and other outputs.

AI-generated content may not always be accurate, complete, or suitable for your circumstances.

You remain solely responsible for reviewing and verifying all outputs before relying on them.

8. Fees and Payments

You grant Taxly a limited licence to store, process, analyse, and use such information solely for the purpose of providing and improving the Services.

Your use of the Services is also governed by our Privacy Policy.

By using the Services, you consent to the collection, storage, and processing of information as described in our Privacy Policy.

12. Availability

While we aim to provide reliable access to the Services, we do not guarantee uninterrupted or error-free operation.

Scheduled maintenance, updates, technical issues, or circumstances beyond our control may result in temporary interruptions.

13. Limitation of Liability

To the maximum extent permitted by law, Taxly excludes all liability for any indirect, incidental, special, consequential, or economic loss arising from the use of the Services.

Our total liability arising from the Services shall not exceed the amount paid by you to Taxly during the twelve months preceding the claim.

Nothing in these Terms excludes any rights that cannot be excluded under Australian Consumer Law.

14. Indemnity

You agree to indemnify and hold harmless Taxly, its directors, employees, contractors, and affiliates from any claims, losses, liabilities, damages, or expenses arising from:

  • Your use of the Services;
  • Your breach of these Terms; or
  • Your violation of any applicable law.

15. Suspension and Termination

We may suspend or terminate your account immediately if:

  • You breach these Terms;
  • We reasonably suspect unlawful activity;
  • Continued access poses a security risk.

You may cease using the Services and close your account at any time.

16. Governing Law

These Terms & Conditions are governed by the laws of New South Wales, Australia.

Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.

17. Changes to These Terms

We may update these Terms & Conditions from time to time.

The updated version will become effective when published on our website or platform.

Continued use of the Services after publication constitutes acceptance of the updated Terms.
